The Procurement Contracting Manager is responsible for supporting HCSC Procurement category and business teams through leading, facilitating and completing negotiation and execution of agreements with HCSC suppliers and service providers. The Procurement Contracting Manager will also oversee a team of Contracting Analysts and Negotiators guiding and managing workloads amongst all procurement categories.

Job Description:

  • Review, draft, negotiate, and advise all Procurement category teams and HCSC business partners on procurement contracts, including, among others, requests for proposal or information, nondisclosure agreements, master services agreements, service level agreements, contract addendums and statements of work.
  • Support Procurement category teams in development of standardized category specific contractual requirements for use during sourcing events, such that supplier strategies and relationships meet business objectives.
  • Support Procurement contracting process optimization, development of clause language and strategic playbooks with fallback positions and guidance that promotes consistency across suppliers.
  • Advocate for optimal terms for HCSC during contract negotiation and interface with suppliers to facilitate expeditious negotiation of contractual terms.
  • Support and oversee development of contractual language in accordance with HCSC’s applicable policies and procedures, as well as regulatory requirements.
  • Provide guidance and counsel and deliver contract expertise to all Procurement category teams.
  • Facilitate coordination between Procurement category teams and internal partners (e.g., Legal, Privacy, Information Security, etc.) for specific areas of risk to enable execution of HCSC’s contracting process and to achieve HCSC initiatives, minimize risks to HCSC and adhere to HCSC corporate and regulatory requirements.
  • Lead and facilitate internal discussions with internal business partners and HCSC stakeholders during contract negotiations, with a goal of issue resolution.
  • Develop and maintain strong working relationships with internal business owners and other HCSC stakeholders at all levels of the organization. Build positive relationships across HCSC and work to understand their needs, plans and business strategies and leverage knowledge in leading contract negotiations with external vendors to generate savings and mitigate risks.
  • Renew or terminate supplier contracts as necessary, to align with HCSC and regulatory requirements, and business partner initiatives.
  • Ensure timely completion of complex agreements that include terms and conditions that are in the best interest of HCSC, and support HCSC goals and initiatives.
  • Update and replace master documents.
  • Manage all aspects of people leadership, including development, coaching, performance management and feedback, and allocation of assignments.
  • Prepare periodic reports for leadership, as necessary or requested, to track strategic goal accomplishment.
  • Keep apprised of contracting best practices, and emerging issues pertaining to HCSC contracts in a variety of settings, such as healthcare industry, privacy, compliance, regulatory, goods, services, IT, software, and security matters.

Required Job Qualifications:

  • Law (Juris Doctor) degree.
  • Minimum of 5 years of professional experience in commercial contract drafting, negotiation and administration and/or Procurement experience.
  • 1 year experience in a management/leadership capacity
  • Exceptional critical thinking skills and business-oriented approach to resolving legal issues.
  • Exceptional written, verbal, and interpersonal communication skills.
  • Management experience in a collaborative workplace.
  • Demonstrated ability to lead, supervise and develop a team.
  • Ability to work independently in a fast-paced, highly matrixed environment.
  • Highly organized team player with a strong attention to detail.
  • Ability to prioritize and manage multiple contract negotiations, while meeting project timelines.

Preferred Job Qualifications:

  • Knowledge of the principles and practices of the purchasing process, contract administration, strategic sourcing, negotiation and purchasing systems.
  • Current license to practice law in the United States or master’s degree.
  • Experience reviewing and drafting terms and conditions (as a buyer or seller) for master agreements, sub-agreements, such as statements of work and order forms, non-disclosure agreements, evaluation agreements, and contract addendums required by government regulations, as applicable.
  • Experience negotiating supplier agreements in a health care industry setting.
  • Familiarity with HIPAA regulations, and data type designations, such as PII and PHI.
  • Experience facilitating negotiation of agreement terms and conditions relating to information security matters.
  • Experience using an automated contract management system.
  • Experience using Outlook, Microsoft Word, and other Microsoft applications.
  • Affiliation with contract management or sourcing organizations such as WCC or SIG.
